Position Summary
We are seeking a highly capable Contracts Manager to lead the full lifecycle of commercial contracts. This role involves designing and drafting contractual frameworks, managing sourcing and negotiations, serving as Secretary to the Tender Committee, and ensuring effective contract administration throughout execution. You will also lead dispute prevention and resolution efforts, safeguard the company’s legal interests, and enable business teams to operate with speed, clarity, and compliance.
Key Responsibilities
1. Pre-Award Contract Strategy
- Translate business needs into appropriate contracting approaches (RFP/RFQ, tender, direct negotiation, exceptions) in line with the Procurement Bylaw.
- Draft and standardize tender documentation, including instructions, evaluation criteria, commercial terms, and technical annexes; ensure compliance with thresholds, approvals, and documentation requirements.
- Serve as Secretary to the Tender Committee:
- Plan sessions, set agendas, compile dossiers, and coordinate member participation.
- Present structured options and recommendations; record minutes and resolutions; monitor execution of decisions with full auditability.
- Draft, review, and negotiate contracts and annexes (e.g., SLA/KPI, service levels, change control, acceptance, payment terms, performance securities, liquidated damages, confidentiality, IP).
- Maintain a contract template library; manage redlines and version control; ensure alignment with applicable laws and internal policies.
- Lead bilingual negotiations (English/Persian) with suppliers, partners, and service providers.
- Strong understanding of tax and insurance implications in commercial and service contracts, including withholding obligations, VAT treatment, and contractor insurance compliance.
2. Post-Award Administration & Change Management
- Monitor deliverables, timelines, variations, extensions, suspensions, and close-outs; manage claims, force majeure events, notices, and remedies.
- Coordinate with finance on payments, retentions, set-offs, penalties, and final accounts.
- Track supplier performance against SLA/KPI metrics and initiate corrective actions.
- Facilitate commercial, technical, and legal negotiations during execution to resolve issues proactively.
- Manage dispute resolution mechanisms (escalation, mediation, expert determination, arbitration, litigation) in coordination with internal and external counsel.
3. Compliance & Continuous Improvement
- Administer a CLM system and contract repository; drive process improvements (policies, SOPs, templates, checklists) to reduce cycle time and mitigate risk.
- Enforce standards related to anti-corruption, confidentiality, conflicts of interest, and record-keeping; prepare reports for management and audit purposes.
- Train internal stakeholders on contracting best practices and the Procurement Bylaw.
4. Intellectual Property Rights Protection & Management
- Ensure all contracts clearly define ownership, licensing, and usage rights for intellectual property developed or used under commercial arrangements.
- Lead or coordinate responses to potential IP infringements, misappropriation, or unauthorized use of the company’s assets in both online and offline environments, including digital platforms, partner operations, and physical materials.
- Review and draft clauses on copyright, trademarks, patents, and confidential information to prevent unauthorized use or disclosure.
- Ensure that all newly created intellectual property is properly documented, registered, and protected under applicable laws, including trademarks, software registrations, and other relevant IP filings.
Key Focus Areas
- Software, Data & Platform Agreements: SaaS and custom development, licensing, SLAs, professional services, data processing and protection (DPA), information security, API access and acceptable use.
- IP & Content: Ownership in commissioned developments, licensing/assignment, open-source compliance, non-compete/non-circumvention.
- Platform Policies: Terms of Service, Privacy Policy, content/user policies, consumer protection, and complaint handling.
- Critical Suppliers: Cloud/hosting, payment service providers (PSPs) and related regulatory compliance, advertising/marketing tech, logistics, and marketplace partners.
Requirements
- Education: Bachelor’s degree in Law (LL.B.)
- Experience: Minimum 2 year as a Contracts Legal Specialist and 1 year as a Contracts Manager in reputable Iranian companies, with demonstrable end-to-end ownership of the contracting process.
- Language: Strong command of English (reading, writing, and speaking), sufficient to draft, review, and negotiate contracts and correspondence.
Core Competencies
- Ability to design fit-for-purpose contractual architectures that mitigate execution risk and anticipate operational scenarios.
- In-depth knowledge of Iranian legal frameworks governing obligations, contract law, corporate and commercial law, and civil procedure for dispute resolution.
- Experience managing procurement and contracting under a company bylaw and improving internal processes.
- Ability to explain legal concepts clearly to non-lawyers and translate technical requirements from engineering/AI teams into measurable contractual terms.
- Proficiency in Google Workspace (Docs, Sheets, Drive) and confident use of AI-enabled tools for drafting, summarization, risk analysis, and version comparison while maintaining confidentiality.
Preferred Qualifications
- Familiarity with key concepts of English/common law contracting (e.g., warranties vs. conditions, limitation of liability, indemnities, misrepresentation) for cross-border agreements.
- Experience with arbitration or alternative dispute resolution; exposure to international contracting frameworks.
- Hands-on experience in IP and e‑commerce law within a technology/platform business, including privacy and data protection.
- Experience implementing or operating CLM systems and establishing contract templates/playbooks.
